RETAINER AGREEMENT & LIMITED DESIGNATION OF AGENCY The Credit Architect (The Company) will use federal law and The Fair Credit Reporting Act in the attempt to help you correct errors and other misleading information found in your credit reports by challenging the credit items that you identify to The Company as inaccurate, untimely, misleading, or unverified credit listings. When the Company receives legible copies of credit reports from you, it will draft, sign, and send letters to the three major credit bureaus on your behalf and in your name. This Retainer Agreement does not include litigation services. The Company cannot guarantee a specific outcome or accurately predict how long the process will take. This process may take more or less than twelve months, but you may cancel this agreement at any time. The Company does not charge you in advance for any legal services. It charges you only after the initial setup, and the work from each month, have been performed. In consideration of the Company's services and low monthly fee, you agree: A. To use the Company’s online Dispute tool service to notify the Firm of items you identify as inaccurate, untimely, misleading, or unverified credit listings. B. To pay the Company the initial file setup cost of $69.00 within five (5) to fifteen (15) days, and $39.99 each subsequent month for work performed the previous month. You grant the Company permission to (i) withdraw the earned funds from your credit card or bank account unless you terminate this Agreement and (ii) verify your account information. You will be charged a fee (i) if your payment for The Credit Architect services is not honored upon first presentment by the Company to your credit card company or bank and (ii) if you change your billing date. The fees noted here may change over time, but you will not be charged the increased fee(s) until sixty (60) days after The Credit Architect has sent to your then-current e-mail address a notice of the increase. Should you decide that you no longer wish to receive the Company's credit repair services, you may cancel this Retainer Agreement by telephone. C. The Company's services are provided on a month-to-month basis. You are charged only for services rendered during the previous month. You understand and agree that you are billed by the Company for services rendered on your behalf, not for a specific case outcome. D. To allow The Credit Architect to receive and review credit reports furnished by third parties and to mail legible copies of your credit reports to us at least every ninety (90) days, promptly forward to us copies of all correspondence that you receive from the credit bureaus, furnishers or others as the result of the Company's efforts on your behalf, and promptly inform the Firm of any change of address. E. To only communicate with the credit bureaus through the Company's written correspondence while this Retainer Agreement is in effect. F. That you sought out The Credit Architect, a credit repair specialist located in New York, to perform the services identified here, and that the services may be performed by The Credit Architect, or by any of the credit specialists employed by and supervised by The Credit Architect. The Company's service is backed by a refund policy that entitles you to some or all of your money back if enough of your targeted items are not removed. This Agreement is governed and enforced by and construed in accordance with the laws of New York. To the maximum extent allowed by law: Any claim arising out of or relating to the Company’s services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association on an individual basis and not consolidated with any other claim. If the claim is solely against The Credit Architect, the arbitration shall be initiated and conducted only in New York. If the arbitration clause above is held not to be enforceable by any court, then to that extent, any legal or equitable action concerning this Agreement that (i) involves only The Credit Architect shall be initiated only in the state or federal courts in New York and both parties agree to submit to the exclusive personal jurisdiction of those courts, (ii) involves Affiliate Counsel, if any (with or without The Credit Architect), shall be initiated only in the state courts in New York County, New York, or, if federal jurisdiction is proper, in the United States District Court for the Southern District of New York; and (iii) both parties agree to submit to the exclusive personal jurisdiction of those courts. If you would like further definition of the terms in this Agreement, please ask your paralegal or refer to the Company's website. ELECTRONIC SIGNATURE, LIMITED DESIGNATION OF AGENCY This is a Limited Designation of Agency, granting permission to the Company to do business with you electronically and to sign letters on your behalf and in your name. You may cancel your permission and close your case at any time, by contacting the Company. Please print a copy of this Agreement for your records. RIGHT OF CANCELLATION YOU, THE BUYER, MAY CANCEL THIS CONTRACT AT ANY TIME PRIOR TO MIDNIGHT OF THE FIFTH BUSINESS DAY AFTER THE DATE OF THE TRANSACTION. SEE THE ATTACHED NOTICE OF CANCELLATION FOR AN EXPLANATION OF THIS RIGHT. Disclosure Statement DISCLOSURE STATEMENT CONSUMER CREDIT FILE RIGHTS UNDER FEDERAL LAW You have a right to dispute inaccurate information in your credit report by contacting the credit bureau directly. However, neither you nor any credit repair company or credit repair organization has the right to have accurate, current, and verifiable information removed from your credit report. The credit bureau must remove accurate, negative information from your report only if it is over 7 years old. Bankruptcy information can be reported for 10 years. You have a right to obtain a copy of your credit report from a credit bureau. You may be charged a reasonable fee. There is no fee, however, if you have been turned down for credit, employment, insurance, or a rental dwelling because of information in your credit report within the preceding 60 days. However, a recent federal law, the Fair and Accurate Credit Transactions Act (FACT) allows you to get one free credit report every 12 months. You may request this free credit report at www.AnnualCreditReport.com. The credit bureau must provide someone to help you interpret the information in your credit file. You are entitled to receive a free copy of your credit report if you are unemployed and intend to apply for employment in the next 60 days, if you are a recipient of public welfare assistance, or if you have reason to believe that there is inaccurate information in your credit report due to fraud. You have a right to sue a credit repair organization that violates the Credit Repair Organization Act. This law prohibits deceptive practices by credit repair organizations. You have the right to cancel your contract with any credit repair organization for any reason within five days from the date you signed it. Credit bureaus are required to follow reasonable procedures to ensure that the information they report is accurate. However, mistakes may occur. You may, on your own, notify a credit bureau in writing that you dispute the accuracy of information in your credit file. The credit bureau must then reinvestigate and modify or remove inaccurate or incomplete information. The credit bureau may not charge any fee for this service. Any pertinent information and copies of all documents you have concerning an error should be given to the credit bureau. If the credit bureau's reinvestigation does not resolve the dispute to your satisfaction, you may send a brief statement to the credit bureau, to be kept in your file, explaining why you think the record is inaccurate. The credit bureau must include a summary of your statement about disputed information with any report it issues about you. The Federal Trade Commission regulates credit bureaus and credit repair organizations. For more information contact: The Public Reference Branch Federal Trade Commission Washington, D.C. 20580 DISCLOSURES REQUIRED UNDER NEW YORK LAW RIGHT TO REVIEW YOUR FILE The Federal Fair Credit Reporting Act gives you the right to know what your credit file contains, and the consumer reporting agency must provide someone to help you interpret the data. The New York Fair Credit Reporting Act gives you the right to receive an actual copy of your credit report. You will be required to identify yourself to the consumer reporting agency and you may be charged a small fee. There is no fee, however, if you have been turned down for credit, employment, or insurance because of information contained in a report within the preceding thirty days. However, a recent federal law, the Fair and Accurate Credit Transactions Act (FACT) allows you to get one free credit report every 12 months. You may request this free credit report at www.AnnualCreditReport.com. INCORRECT INFORMATION Consumer reporting agencies are required to follow reasonable procedures to ensure that subscribing creditors report information accurately. However, mistakes may occur. When you notify the consumer reporting agency in writing that you dispute the accuracy of information, it must reinvestigate and modify or remove inaccurate data. The consumer reporting agency may not charge any fee for this service. Any pertinent data you have concerning an error should be given to the consumer reporting agency. If reinvestigation does not resolve the dispute to your satisfaction, you may enter a statement of one hundred words or less in your file, explaining why you think the record is inaccurate. The consumer reporting agency must include your statement about disputed data -- or a coded version of it -- with any reports it issues about you. New York law also provides that, at your request, the consumer reporting agency must notify any person who has received a report in the previous year that an error existed and furnish such person with the corrected information. TIME LIMITS ON ADVERSE DATA Most kinds of information in your file may be reported for a period of seven years. If you have declared personal bankruptcy, however, that fact may be reported for ten years. After seven years or ten years, the information can't be disclosed by a credit reporting agency unless you are being investigated for a credit application of $50,000 or more, for an application to purchase life insurance of $50,000 or more, or for employment at an annual salary of $25,000 or more. NO ADVANCE FEE Under New York law no fee may be collected in advance of performance of the services specified in this contract. NOTICE OF ACKNOWLEDGMENT OF NEW YORK LAW New York law requires that the Company disclose to me my rights under New York's Credit Business law and that I acknowledge its receipt by my signature. On a separate sign-up page, I will provide my electronic signature affirming that acknowledgment and receipt. Notice of Cancellation The Company allows you to cancel this Agreement at any time without penalty or refund, and with no future obligation. Federal law requires that you be given two Notices of Cancellation: -------------------------------------------------------------------------------- NOTICE OF CANCELLATION UNDER NEW YORK LAW You may cancel this contract, without any penalty or obligation, within 5 days from the date the contract is signed. If you cancel any payment made by you under this contract, it will be returned within 10 days following receipt by The Credit Architect of your cancellation notice.
